Gofore Plc Board of Directors’ decisions regarding share-based incentive scheme for key personnel

The Gofore Plc Board of Directors has today made decisions on a new performance period for the share-based incentive scheme for key personnel, as well as the payment of rewards from the corresponding program for the year 2022.

The target of all of Gofore’s incentive systems is to align the goals of the company, shareholders, and staff to increase the company’s value in the long term and to engage Goforeans to work for the company. 

New performance period

In the performance-based share incentive scheme for key personnel, the period from 2025 to 2027 is one three-year performance period covering the financial years 2025 to 2027. In this scheme, participants have the opportunity to earn shares in Gofore Plc based on the achievement of performance criteria.

For the performance period 2025–2027, rewards are based on the following performance criteria:

– Adjusted operating profit margin (adjusted EBITA%) for the years 2025–2027 (50%)
– Growth in Group revenue for the years 2025–2027, measured cumulatively (50%)

The rewards payable from the performance period may correspond to a total value of approximately 76,050 Gofore Plc shares, including the portion paid in cash. The target group of the share incentive scheme during this performance period includes approximately 47 key personnel, including the CEO and members of the group management team.

The 2022 rewards 

The three-year earning period for the performance-based share reward system directed at key personnel of the Group in 2022 has ended in December 2024, and the rewards are estimated to be paid in March 2025. In this system, participants had the opportunity to earn shares of Gofore Plc based on the achievement of earning criteria. 

Rewards were based on the following earning criteria: 

– Adjusted operating profit percentage (adjusted EBITA%) for the years 2022–2024 (50%)
– Growth of the Group’s revenue for the years 2022–2024, measured cumulatively (50%) 

Upon payment of the reward, 3,968 company treasury shares will be transferred to the participants without compensation, in addition to the cash portion of the reward. The target group of the share reward system includes 22 key people at the time of payment of the 2022–2024 earning period, including the CEO and members of the Group’s management team. 

The rewards from the systems are paid partially in shares of Gofore Plc and partially in cash. The cash portions of the rewards are intended to cover the taxes and statutory social security contributions incurred by the participants from the rewards. If a participant’s employment or service relationship ends before the payment of the reward, the reward is generally not paid.

The total number of shares in the company is 15,742,834 shares after the rewards payment and the registration of new shares.
